{"id":197,"date":"2025-01-13T14:58:00","date_gmt":"2025-01-13T18:58:00","guid":{"rendered":"https:\/\/blogs.duanemorris.com\/antitrustlaw\/?p=197"},"modified":"2025-01-13T14:58:00","modified_gmt":"2025-01-13T18:58:00","slug":"ftc-reaches-record-5-6m-gun-jumping-settlement-related-to-oil-deal","status":"publish","type":"post","link":"https:\/\/blogs.duanemorris.com\/antitrustlaw\/2025\/01\/13\/ftc-reaches-record-5-6m-gun-jumping-settlement-related-to-oil-deal\/","title":{"rendered":"FTC Reaches Record $5.6M \u201cGun-Jumping\u201d Settlement Related To Oil Deal"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">It is extremely rare to see the Federal Trade Commission (\u201cFTC\u201d) pursue an enforcement action under the Hart-Scott-Rodino Act (\u201cHSR Act\u201d) for illegal pre-merger coordination, better known as \u201cgun jumping.\u201d  Nonetheless, the FTC recently announced that certain crude oil producers will pay a record <a href=\"https:\/\/www.ftc.gov\/news-events\/news\/press-releases\/2025\/01\/oil-companies-pay-record-ftc-gun-jumping-fine-antitrust-law-violation\" data-type=\"link\" data-id=\"https:\/\/www.ftc.gov\/news-events\/news\/press-releases\/2025\/01\/oil-companies-pay-record-ftc-gun-jumping-fine-antitrust-law-violation\">$5.6 million civil fine<\/a> to settle allegations that they engaged in impermissible pre-merger conduct in violation of the HSR Act. <\/p>\n\n\n\n<!--more-->\n\n\n\n<p class=\"wp-block-paragraph\">In general terms, the HSR Act requires merging parties to certain transactions to submit an HSR notification form to the federal antitrust agencies and observe a waiting period before completing the proposed deal. In this case, the FTC alleged that buyers assumed some operation and decision-making control over significant aspects of seller\u2019s day-to-day business operations prior to expiration of the waiting period and the FTC\u2019s review of the transaction.
