{"id":206,"date":"2023-03-22T13:43:59","date_gmt":"2023-03-22T17:43:59","guid":{"rendered":"https:\/\/blogs.duanemorris.com\/delawarebusinesslaw\/?p=206"},"modified":"2024-12-12T12:01:20","modified_gmt":"2024-12-12T16:01:20","slug":"court-of-chancery-refuses-to-blue-pencil-facially-unenforceable-non-compete-agreement","status":"publish","type":"post","link":"https:\/\/blogs.duanemorris.com\/delawarebusinesslaw\/2023\/03\/22\/court-of-chancery-refuses-to-blue-pencil-facially-unenforceable-non-compete-agreement\/","title":{"rendered":"Court of Chancery Refuses to Blue Pencil &#8220;Facially Unenforceable&#8221; Non-Compete Agreement"},"content":{"rendered":"<p>A few weeks ago, <a href=\"https:\/\/www.duanemorris.com\/articles\/delaware_choice_of_law_clauses_covenants_not_to_compete_does_delaware_have_interest_0323.html\">we wrote about a decision<\/a> where the Court of Chancery denied injunctive enforcement to a non-compete agreement because the agreement was likely void under Alabama law, and Alabama\u2019s much closer relationship to the labor market at issue overcame an otherwise-valid choice-of-law clause pointing to Delaware.\u00a0 This week, the Court of Chancery has once again found a non-compete agreement unenforceable in <a href=\"https:\/\/courts.delaware.gov\/Opinions\/Download.aspx?id=345240\"><em>Intertek Testing Services NA, Inc. v.
